A Practical Guide to Environmental, Social and Governance Contractual Obligations

Environmental, Social and Governance (ESG) considerations are increasingly embedded within commercial contracts, corporate governance and risk-management frameworks. An ESG contract may address environmental standards, supply-chain responsibilities, modern slavery, ethical business practices, diversity and inclusion, sustainability targets, reporting obligations or responsible procurement.

The precise contractual requirements depend upon the organisation, sector, transaction and regulatory framework.

What are ESG legal contracts?

There is no single statutory document called an “ESG contract”.

Instead, ESG provisions can be incorporated into commercial agreements, supplier contracts, employment documentation, investment agreements, procurement terms, shareholder arrangements and corporate policies. Well-drafted clauses should identify measurable obligations rather than relying upon broad statements about sustainability.

Why are ESG clauses important?

A business may require suppliers to comply with environmental standards, provide emissions information, maintain ethical labour practices or meet specified sustainability criteria. Contracts can also establish audit rights, reporting obligations, remediation procedures and consequences for non-compliance.

Where sustainability commitments are communicated externally, businesses should ensure that contractual obligations and supporting evidence are consistent with those representations.

UK ESG reporting and disclosure

ESG obligations are increasingly connected with corporate reporting.

The UK Government published UK Sustainability Reporting Standards (UK SRS S1 and UK SRS S2) in February 2026, covering general sustainability-related financial information and climate-related disclosures. The standards are currently available for voluntary use. The FCA has consulted on requiring UK-listed companies to report against them, with final rules expected in autumn 2026 and a proposed start date of January 2027, and the Government is considering whether to extend requirements to other companies under the Companies Act. Certain large companies and LLPs are already subject to mandatory climate-related financial disclosure requirements under regulations introduced for financial years beginning on or after 6 April 2022.

For FCA-regulated firms, the Sustainability Disclosure Requirements regime contains specific rules concerning sustainability-related investment products, disclosures and marketing. The FCA's anti-greenwashing rule requires sustainability-related claims made by FCA-authorised firms to be fair, clear and not misleading.

ESG contractual drafting considerations

An effective ESG clause should clarify the applicable standards, responsibilities, evidence requirements and reporting frequency. Where appropriate, contracts should address environmental targets, supply-chain due diligence, human-rights standards, anti-bribery requirements, modern slavery, data reporting, audit rights and termination or remediation provisions.

The drafting should remain proportionate to the commercial relationship and capable of being objectively assessed.

ESG Contract Checklist

Before entering into an ESG-related agreement, consider:

* ESG objectives and contractual scope

* Environmental performance requirements

* Sustainability reporting obligations

* Supply-chain standards

* Modern slavery considerations

* Human-rights commitments

* Anti-bribery and ethical requirements

* ESG representations and warranties

* Audit and verification rights

* Reporting and evidence requirements

* Remediation procedures

* Liability and indemnities

* Termination provisions

* Applicable standards and legislation

* Governing law and jurisdiction

What to Consider by Location

ESG requirements may vary according to the legal and regulatory environment in which a business operates. Businesses in London, Glasgow, Edinburgh, Manchester and other UK locations should identify the legislation and regulatory requirements applicable to their sector and activities.

For cross-border operations involving Ireland, Hungary or the wider EU, contractual ESG provisions may need to accommodate additional sustainability, supply-chain, reporting and disclosure requirements. Location should therefore be considered alongside the nature of the business, counterparties and applicable regulatory regime.

ESG contractual provisions are becoming an increasingly important component of responsible corporate governance and commercial risk management. However, businesses should distinguish between voluntary ESG commitments, contractual obligations and mandatory regulatory requirements.

The appropriate approach is to identify the relevant legal duties first, establish measurable contractual obligations and ensure that sustainability claims can be substantiated.
